- Structuration - architecture fonds propres / dette / quasi-equity, table de capitalisation, dimensionnement et covenants de la dette, structuration holding, mécanismes de sortie.
- Documentation et négociation - equity story, teaser, mémo d'investissement, lecture et préparation des term sheets et NBO/BO (liquidité, drag/tag, earn-out, garanties).
Ce qui me différencie : 7 ans+ en conseil financier et investissement - M&A achat (buy-side) et vente (sell-side), levées de fonds, financement de projet - sur 30+ opérations totalisant USD 4bn+. J'ai piloté des modèles consolidés, des levées equity et dette de USD 60-700m, des carve-outs et des process compétitifs.
Formé à HEC Paris et Sciences Po, certifié en modélisation financière avancée.
